1. General Information

Pursuant to Romanian Law 365/2002 on e-commerce and Government Emergency Ordinance (OUG) 34/2014 on consumer rights, the terms below govern use of the site and the purchase of services sold here.

2. Definitions

  • Seller - Digital Leadership S.R.L.
  • Buyer - any natural or legal person purchasing a VenusLogic package
  • Consumer - a Buyer who is a natural person, as defined by EU Directive 2011/83/EU
  • VenusLogic package- service consisting of (a) a license to use the Node-RED configuration software for Victron Energy systems and (b) remote deployment on the Buyer's system, including configuration and activation
  • Digital content - the configuration software in digital form, per Directive (EU) 2019/770
  • Site - venuslogic.ro, including all associated pages and subdomains

3. Subject of the Contract

The Seller markets VenusLogic packages, which include both a software license and a remote deployment service. The software consists of Node-RED configuration files designed for Victron Energy solar systems equipped with Cerbo GX and Venus OS Large.

The contract is deemed concluded upon confirmation of payment by bank transfer to the Seller's account.

4. Packages and Pricing

The Seller offers three packages:

  • VenusLogic Basic (600 LEI) - grid protection + phone alerts
  • VenusLogic Pro (1,000 LEI) - Basic + scheduled export + weather forecast
  • VenusLogic EV Ready (1,200 LEI) - Pro + smart EV charging

Prices are listed in LEI (RON) and include VAT where applicable. Prices are valid at the moment the invoice is issued. Payment is one-time, with no recurring subscription, and covers both the software license and the initial remote deployment.

5. Order Process

  1. The Buyer contacts the Seller by phone or email, specifying the desired package.
  2. The Seller confirms system compatibility (5–10 minutes by phone).
  3. The Seller issues a proforma invoice (or fiscal invoice) with the Buyer's billing details.
  4. The Buyer pays the amount via bank transfer to the account indicated on the invoice.
  5. Once payment is received, remote deployment is scheduled (typically within 1–3 business days).
  6. The Buyer grants access to the Cerbo GX system through Victron Remote Management (VRM).
  7. The Seller performs the remote deployment and verifies functionality with the Buyer.

Before payment, the Buyer may verify and correct the billing details (per Art. 7 of Law 365/2002).

6. Delivery

The VenusLogic package is delivered exclusively in digital form, via remote deployment on the Buyer's Cerbo GX system. Delivery is deemed complete once the software configuration is successfully activated on the Buyer's system and verified together with the Buyer.

No additional delivery charges apply.

7. Right of Withdrawal

Pursuant to EU Directive 2011/83/EU on consumer rights, Consumer Buyers have a right of withdrawal.

7.1. Extended guarantee - 30 days

VenusLogic offers a 30 calendar day money-back guarantee from the date of delivery (remote deployment), with full refund - no reason required, no conditions. This exceeds the legal minimum of 14 days.

7.2. Exercising the right of withdrawal

To exercise this right, the Buyer may contact the Seller at razvan@generativa.ro or by phone at +40 757 532 054, providing their name, the bank account for the refund, and the deployment date.

Upon withdrawal request, the Seller deactivates the configuration on the Buyer's system (remotely, within 24 business hours). Refunds are processed within 14 days of withdrawal confirmation, by bank transfer.

7.3. Digital content exception

Under Art. 16(m) of Directive 2011/83/EU, the legal 14-day right of withdrawal may be lost for digital content supplied without tangible medium, where the consumer gave explicit prior consent and acknowledged the loss of that right.

However, VenusLogic does not invoke this exception. The 30-day guarantee applies regardless of whether the service has been used.

8. Compatibility and Technical Requirements

Per Art. 6(1)(r) of Directive 2011/83/EU, VenusLogic packages require:

  • Victron Energy solar system with Cerbo GX
  • Venus OS Large enabled on Cerbo GX
  • Functional Node-RED on Cerbo GX
  • Active VRM account with remote access (for deployment)
  • Internet connection for alerts and weather forecast
  • Battery connected to the Victron Energy system

The Seller verifies system compatibility free of charge before issuing the invoice. If the system is not compatible, no contract is concluded.

9. Updates

Per Directive (EU) 2019/770 (Art. 8), the Seller is obligated to provide updates necessary to maintain product conformity. Updates are applied free of charge, by remote re-deployment on the Buyer's system - no technical action required from the Buyer.

10. Intellectual Property

VenusLogic software is protected by copyright under applicable EU legislation. The license granted to the Buyer is:

  • Non-exclusive
  • Non-transferable
  • For use on one single Victron Energy system
  • For an indefinite period (as long as the package is not refunded)

Redistribution, resale, reverse engineering, or modification for resale is strictly prohibited.

11. Conformity Guarantee

Per Directive (EU) 2019/770, the Seller guarantees that the digital package conforms to the contract, the description on the site, and the specified technical requirements. The legal guarantee period for digital content is 2 years from delivery.

12. Limitation of Liability

The Seller is not liable for indirect damages, loss of profit, or equipment damage caused by incorrect use of the system or incompatibility with systems that do not meet the technical requirements in Section 8.

Packages are designed according to Victron Energy specifications and respect equipment safety limits. In no circumstance shall the Seller's total liability exceed the amount paid by the Buyer for the purchased package.

13. Data Protection

Personal data processing is detailed in our Privacy Policy. The Seller complies with Regulation (EU) 2016/679 (GDPR).

14. Dispute Resolution

Any disputes will be resolved amicably. If that is not possible, disputes will be settled by the competent courts in Cluj-Napoca, Romania.

EU consumers may file complaints through the European Online Dispute Resolution (ODR) platform: ec.europa.eu/consumers/odr

15. Force Majeure

Neither party shall be liable for failure to perform any obligation if such failure results from force majeure. The affected party shall notify the other as soon as possible.

16. Changes to Terms

The Seller reserves the right to modify these Terms and Conditions. Changes take effect upon publication on the site. Previous versions are available upon request.

17. Governing Law

These Terms and Conditions are governed by Romanian law, including but not limited to:

  • Romanian Law 365/2002 on e-commerce
  • Romanian OUG 34/2014 on consumer rights in distance contracts
  • Regulation (EU) 2016/679 (GDPR)
  • Directive (EU) 2019/770 on digital content
  • Directive 2011/83/EU on consumer rights
